Welcome to InspectHub, a property inspection management platform built by Attikus Labs, Inc., an independent, privately-owned software company incorporated in Delaware. In these Terms, "we", "us", and "our" refer to InspectHub and Attikus Labs, Inc.

By accessing or using InspectHub (the "Service"), you agree to be bound by these Terms & Conditions (the "Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all users of the Service, including landlords, property managers, tenants, and any other individuals who access or use the platform.

InspectHub is a cloud-based platform that enables landlords and property managers to:

• Create and manage property inspection reports with photos and videos
• Collect digital signatures from tenants and other parties
• Store and organize inspection documentation
• Generate and share inspection reports

The Service is provided "as is" and we may modify, update, or discontinue features at any time with reasonable notice.

To use the Service, you must create an account with a valid email address and password. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

InspectHub offers a free tier with limited features and usage. Paid plans with additional features and higher limits may be available.

For paid plans:

• Billing is handled through our payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis.
• You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.
• We do not provide refunds for partial billing periods.
• We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing period.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose of managing property inspections.

You may not:

• Copy, modify, or reverse-engineer any part of the Service
• Use the Service to build a competing product
• Sublicense, sell, or redistribute access to the Service
• Remove or alter any proprietary notices or labels on the Service
• Use automated tools to scrape, crawl, or extract data from the Service

You retain full ownership of all content you upload to the Service, including photos, videos, inspection reports, notes, and signatures ("User Content"). Your data is never used for any purpose beyond providing InspectHub to you — it is never shared across other products, sold, or used to train AI models.

By using the Service, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the Service to you. We will not use your content for any other purpose.

You are responsible for ensuring you have the right to upload any content to the Service. You represent that your User Content does not violate any third party's intellectual property rights or privacy rights.

InspectHub provides electronic signature functionality for inspection reports. By using this feature:

• You acknowledge that electronic signatures created through the Service are intended to be legally binding, consistent with applicable electronic signature laws including the U.S. ESIGN Act and the EU eIDAS Regulation.
• You are responsible for verifying the identity of signatories.
• We store signature data (including timestamps and IP addresses) to help establish the validity of signatures.
• We do not guarantee that electronic signatures will be accepted in all jurisdictions or by all parties. It is your responsibility to determine whether electronic signatures are appropriate for your use case.

You agree to use the Service only for lawful purposes related to property inspection management. You may not:

• Upload content that is illegal, harmful, threatening, abusive, or otherwise objectionable
• Use the Service to harass, stalk, or intimidate any person
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to transmit malware, viruses, or other harmful code
• Violate any applicable local, state, national, or international law

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• The results obtained from the Service will be accurate or reliable
• Any defects in the Service will be corrected

You use the Service at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INSPECTHUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify and hold harmless InspectHub and Attikus Labs, Inc., their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third party's rights
• Your User Content

You may stop using the Service and delete your account at any time.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, fraudulent activity, or extended inactivity.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, after which it will be permanently deleted unless required by law.

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved in the state or federal courts located in the State of Delaware. You consent to the personal jurisdiction of such courts.

Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and InspectHub (operated by Attikus Labs, Inc.) regarding the Service.

Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver — Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment — You may not assign your rights under these Terms without our prior written consent. We may assign our rights at any time without notice.
